The Unipetrol Group is one of the largest chemical groups in the Czech Republic and specialises in crude oil processing, distribution of fuels and petrochemical production. Having acquired Uni petrol a.s, PKN ORLEN strengthened its position in the CEE as an M&A leader.

As a holding, Unipetrol a.s. is managing development of 34 subsidiary companies that make up the Unipetrol Group. The company coordinates activities connected with the functioning of the entire Group, ensures development of financial systems and manages the personnel in the companies comprising the Group.

2007 was the next stage of business and organisational integration between PKN ORLEN and Unipetrol Group. The “Partnership Programme”, which constituted an excellent platform for the standardisation of procedures and exchange of experience, was completed a year in advance. Simultaneously, under the framework of implementing the “One Company” concept, the organisational transformations were carried out within Unipetrol Group, aimed at the standardisation of business processes. Further actions in respect of the rebranding of Benzina fuel stations were carried out successfully.

In the framework of the “Strengthening Corporate Supervision in Unipetrol Group” project, further actions were carried out in respect of the Group’s organisational restructuring process and the optimisation of legal structures. The business processes were also standardised by establishing the Shared Service Centre for Unipetrol Group and by determining new, and strengthening the existing, centrally-managed functions for Unipetrol Group.

In 2007 actions aimed at the unification of PKN ORLEN and Unipetrol a.s. structures were carried out by separating the production activity from the commercial activity and connecting it with business segments in PKN ORLEN through personal unions.

The actions undertaken will enable segment management implementation to be continued with further integration of business processes, which will ultimately increase the value generated for shareholders in both capital groups.

In 2007, Unipetrol a.s. sold 100 percent of shares in Kaucuk a.s., and in January 2008 the company also sold a 50 percent stake in Agrobohemie and a 38.79 percent stake in Synthesia.

Unipetrol a.s. strengthened its position in the refinery segment through the following acquisitions in 2007:

  • purchase of 14.51 percent of shares in Paramo a.s.;
  • purchase of 0.225 percent shares in Česká Rafinérská a.s. from ConocoPhillips.
