Structure of the ORLEN Group

As at 31 December 2025, ORLEN S.A. held direct and indirect equity interests in nearly 340 companies.

As at 31 December 2025, the ORLEN Group consisted of the parent and 179 companies over which the parent had direct or indirect control, as defined in International Financial Reporting Standard 10 (IFRS 10).

In 2025, an amendment was drafted to the ORLEN Group Cooperation Agreement applicable across the ORLEN Group companies (the so-called “ORLEN Group Constitution”). Its main purpose was to further standardise and strengthen the companies’ operation in line with the interests and common strategy of the ORLEN Group, while also clarifying and reinforcing the principles of cooperation between ORLEN Group companies.
